These terms
These Terms of Service (the “Terms”) govern access to and use of OKEA Management (the “Platform”), operated by OKEA (“OKEA”, “we”, “us”). By signing in or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
If you work with OKEA under an employment, freelance or other agreement, that agreement continues to apply; where it conflicts with these Terms, that agreement prevails. Our Privacy Policy explains how personal data is handled.
The service
The Platform is OKEA’s own operating system for its e-commerce business. Depending on your role, it lets you:
- prepare, review and test products, and manage their creatives, briefs and revisions;
- follow sourcing, stock and transport, and record daily sales performance per product and market;
- see profit and finance figures, and work with your team through tasks, notes and chat;
- read the performance of OKEA’s Facebook and Instagram advertising (Ads Manager);
- create, publish and edit campaigns in OKEA’s Meta ad accounts (Create campaign).
The Platform is provided to OKEA’s team and invited collaborators for OKEA’s operations. It is not sold as a subscription, and users are not charged for using it.
Accounts and access
- Accounts are created only by invitation from a OKEA administrator. Applying through the public “Join” form does not create an account.
- Your role (administrator, media buyer, video editor or sourcing specialist) and, for media buyers, your assigned markets and ad accounts decide what you can see and do. Administrators may change them at any time.
- Keep your password confidential and do not share your account. You are responsible for what is done with it. Tell us at once at ayoubbress12@gmail.com if you think someone else has accessed it.
- Keep your profile information accurate.
Acceptable use
You agree not to:
- use the Platform for anything unlawful, or outside your work for OKEA;
- try to access data, accounts, ad accounts or features you have not been given, or get around the Platform’s access controls;
- copy, scrape, reverse-engineer or overload the Platform, or upload malware;
- upload content you have no right to use, or that infringes someone else’s rights;
- publish ads that break the law or Meta’s Advertising Standards, Community Standards or Commerce Policies — including misleading claims, prohibited products, or claims about prices, results, stock or delivery that are not true;
- share OKEA’s confidential information (products, suppliers, costs, results, team information) outside OKEA without permission.
Meta ad account connections
- The Platform connects to Meta through access tokens of system users in OKEA’s Meta Business portfolio. The super administrator connects the business-wide tokens; an ad account’s own token can also be set by the media buyer assigned to that account. Whoever connects a token confirms that they are authorised to do so and that the ad accounts, Pages and pixels it reaches belong to, or are shared with, OKEA’s business.
- No one connects a personal Facebook account. Media buyers only see and use the ad accounts an administrator has assigned to them.
- Connections can be removed at any time in the Platform (Settings), or from Meta’s side in Meta Business Settings. Meta may also limit or revoke access under its own terms.
- Use of Meta’s services is governed by Meta’s terms and policies, including the Meta Platform Terms, Developer Policies and Advertising Standards. These Terms do not change them.
Creating and managing campaigns
- Your authorisation. When you press Publish in Create campaign, you instruct the Platform to create in the chosen ad account the campaign(s), ad sets, ad creatives and ads shown on the review screen — with their names, countries, budgets, schedule, Page, pixel, creatives, ad copy and on/off status — and to upload the chosen creative files to Meta. When you save an edit to a campaign, ad set or ad, you instruct the Platform to send those changes. Nothing is published or changed in Meta without such an action.
- Your review. Check everything before you publish, including copy suggested by Claude: AI-suggested copy can be wrong or unsuitable, and you remain responsible for what you publish. Only publish within the budgets and markets OKEA has authorised for you.
- Meta decides delivery. Meta reviews ads and may reject, restrict or delay them, and decides how budgets are spent. If a launch fails partway, the Platform pauses what it had already created in that launch, and you can retry.
- Audit. Launches and edits are recorded with who made them and when.
Advertising spend and Meta charges
- Advertising costs are billed by Meta to the payment method of the ad account, under Meta’s advertising terms. The Platform does not receive, hold or process payments, and charges nothing for ad spend.
- Budgets set in the Platform are passed to Meta as entered; Meta’s actual daily spend can differ from them according to Meta’s own rules.
- Charges for ads published or left running are the responsibility of the owner of the ad account, OKEA. Users must keep campaigns within what OKEA has authorised and switch off what should not run.
Figures and limitations
- Advertising figures come from Meta and are refreshed periodically, so they can lag behind or differ slightly from Meta Ads Manager.
- Sales, stock, cost and profit figures depend on the data people enter, such as daily results, costs and exchange rates. Check important figures before relying on them.
- The Platform does not guarantee any advertising or sales result.
- Features that depend on Meta, Anthropic or other providers may change or stop working when those providers change their services.
Third-party services
The Platform relies on third-party services, including Meta (advertising), Anthropic (optional ad-copy suggestions), Hetzner (hosting) and, if configured, an e-mail delivery provider. Their own terms apply to their services, and OKEA is not responsible for their availability or decisions.
Content and intellectual property
- The Platform — its software, design and the OKEA name and logo — belongs to OKEA. You may use it only as these Terms allow.
- Product information, creatives and other content you upload must be yours to share or properly licensed. Ownership of work you create for OKEA is governed by your agreement with OKEA; you allow OKEA to store and use such content in the Platform and in its advertising as part of its operations.
- Meta, Facebook and Instagram are trademarks of Meta Platforms, Inc. The Platform is not endorsed by Meta.
Suspension and termination
- OKEA administrators may suspend or remove an account at any time, for example when a collaboration ends, after a breach of these Terms, or to protect the Platform. Suspension or removal ends the account’s sessions immediately.
- When an account is removed, its business records (products, creatives, entries, decisions) stay in the Platform with their author, as described in our Privacy Policy.
- You can ask to close your account and to have your personal data deleted — see User Data Deletion.
- Sections that by their nature should survive (confidentiality, intellectual property, liability) continue after an account ends.
Disclaimers and liability
To the extent the applicable law allows:
- the Platform is provided “as is” and “as available”, and may be interrupted for maintenance or by problems beyond our control;
- OKEA is not liable for indirect or consequential losses, lost profits, or for decisions taken by Meta or other providers (such as rejected ads or restricted accounts);
- OKEA is not liable for advertising spend resulting from campaigns a user published, edited or left running.
Nothing in these Terms limits liability that cannot be limited by law, or rights you have under mandatory law or under your agreement with OKEA.
Disputes
If you have a concern about the Platform or these Terms, contact us first at ayoubbress12@gmail.com; we will try in good faith to resolve it with you. Disputes that cannot be resolved this way are handled under the law and by the courts that apply to OKEA, without affecting any mandatory protection you have.
Changes to these terms
We may update these Terms when the Platform or the law changes. We will change the “Last updated” date above and, for important changes, tell our team inside the Platform. Continuing to use the Platform after an update means you accept the updated Terms.
